Public limited company.

Review incorporation, ownership and governance requirements for a public limited company.

Scope before commitment Requirements explained
01 / THE BIG PICTURE

The right support.
With the details in view.

Plan a company structure suitable for a broader ownership base while understanding the additional governance responsibilities it carries. We review the proposed subscribers, directors, capital and constitutional documents, then organise incorporation support with a separate review of any proposed securities offering or regulated activity.

First, establish what applies

Entity formation, tax registrations and optional recognition schemes are different steps. Udyam and Startup India recognition do not replace incorporation or operating licences.

What the scoped work can cover

  • Public company incorporation document pack
  • Application and authority query records
  • Incorporation outcome and governance action plan
02 / GET READY

The documents.
A clearer starting point.

Use this as a preparation list for the initial review. The final checklist is confirmed against the applicant, service route, location and current authority requirements.

  1. 01

PAN and identity proof of proposed Indian subscribers or partners

  2. 02

Current residential address proof and contact details of proposed signatories

  3. 03

Registered office ownership document or rent agreement

  4. 04

Owner’s consent and recent utility evidence for the proposed office

  5. 05

Promoter, subscriber and director matrix with proposed capital

  6. 06

Proposed objects, names and memorandum and articles brief

Share sensitive records only through an agreed secure channel after the engagement is confirmed. Do not send passwords, OTPs or signing keys.

03 / HOW IT MOVES FORWARD

One step.
Then the next.

A clear sequence, with room to resolve the details that are specific to your business.

  1. 01

    Assess the structure

Review the promoter group, business purpose and intended capital-raising approach.

  2. 02

    Organise governance details

Check subscriber and director requirements and the proposed articles.

  3. 03

    Prepare MCA submissions

Coordinate incorporation documents, declarations and required certification.

  4. 04

    Plan post-incorporation work

Map commencement, statutory records and any securities-law workstream.

Scope, fees and timing are agreed after review. Document readiness, professional review and any authority queries affect the schedule. Statutory charges, testing, execution and other third-party costs are identified where relevant.

04 / BEYOND THIS STEP

Keep the next
responsibility in view.

Establish statutory registers, reporting ownership and approval workflows before raising capital or entering transactions that require additional board, member or regulatory approval.

05 / A LITTLE MORE CLARITY

Good questions.
Useful answers.

01Does a public company automatically become listed?+

No. Incorporation as a public company and stock-exchange listing are separate processes.

02Can we invite the public to invest immediately?+

Any public offer requires a separate review of company and securities laws; incorporation alone does not authorise it.

03Are governance obligations the same as a private company?+

Public companies require their own assessment of directors, governance, reporting and transaction approvals.
