Legal documents & agreements

Non-disclosure agreement.

Define confidential information, permitted disclosures, purpose and duration for a proposed business relationship.

Scope before commitment Requirements explained
01 / THE BIG PICTURE

The right support.
With the details in view.

An NDA sets the ground rules for sharing sensitive information during a proposed business relationship. It explains the purpose, permitted recipients, exclusions and handling obligations before material is disclosed. Its usefulness depends on suitable wording and sensible sharing practices; it does not create ownership of ideas or guarantee that a dispute will never occur.

First, establish what applies

Documents should reflect the transaction, parties, location and applicable law. Drafting, legal advice, disputes, execution, stamping and registration need appropriate professional review; a template alone does not complete those steps.

What the scoped work can cover

  • One-way or mutual NDA draft
  • Information-use and disclosure schedule
  • Signing and information-handling checklist
02 / GET READY

A useful brief.
A stronger starting point.

Bring these inputs and existing records to the drafting discussion. They help turn a standard format into a document that reflects your situation.

  1. 01

Names and capacity of the disclosing and receiving parties

  2. 02

    Purpose of the proposed discussions

  3. 03

    Information categories and intended recipients

  4. 04

Proposed confidentiality duration and permitted disclosures

  5. 05

    Return, deletion and dispute preferences

Share sensitive records only through an agreed secure channel after the engagement is confirmed. Do not send passwords, OTPs or signing keys.

03 / HOW IT MOVES FORWARD

One step.
Then the next.

A clear sequence, with room to resolve the details that are specific to your business.

  1. 01

    Map the exchange

Identify what will be shared and whether disclosure is one-way or mutual.

  2. 02

    Set information boundaries

Agree the purpose, exclusions, recipient access and required-disclosure process.

  3. 03

    Prepare confidentiality terms

Draft handling, duration and return obligations suited to the discussions.

  4. 04

    Prepare for sharing

Resolve comments and identify signatures, marking and secure disclosure practices.

Scope, fees and timing are agreed after review. Document readiness, professional review and any authority queries affect the schedule. Statutory charges, testing, execution and other third-party costs are identified where relevant.

04 / BEYOND THIS STEP

Keep the next
responsibility in view.

Keep a disclosure record, limit access to authorised recipients and follow the agreed return or deletion process when discussions end.

Explore obligations beyond your core business
05 / A LITTLE MORE CLARITY

Good questions.
Useful answers.

01Should the NDA be mutual?+

Use a mutual arrangement when both sides will disclose protected information; do not add reciprocal duties without considering the actual exchange.

02Does it protect material already in public?+

Appropriate exclusions normally distinguish public or independently developed information from protected disclosures.

03Does an NDA stop someone using my business idea?+

It can restrict agreed uses of disclosed information. IP ownership and broader restrictions need separate assessment.
